ARTICLE 1 – GENERAL PROVISIONS

The website (hereinafter referred to as the "Site") is an e-commerce site accessible via the internet at: www.perron-rigot.ca

It is published by: Perron Rigot Canada Inc., whose registered office is located at 11800 Av. Lucien-Gendron, Montréal, QC H1E 7A8 (hereinafter referred to as "PR CND INC.").

These general terms and conditions of sale exclusively govern the sales of products by PR CND INC. made through its website www.perron-rigot.ca and are intended solely for personal care professionals/merchants (hereinafter referred to as the "Client(s)"). They are systematically accessible on this site by the buyer at the time of order registration. By placing an order, the buyer is deemed to accept, without reservation, the general terms and conditions of use of the site and of sale, to the exclusion of all other conditions appearing in brochures or catalogues issued by PR CND INC., including those applicable to in-store sales or through other distribution and marketing channels.

The sale of PR CND INC. products on this site is exclusively reserved for professionals, meaning any natural or legal person acting as a merchant and having the legal capacity to enter into contracts. Consequently, orders from consumers or unauthorized resellers will not be fulfilled by PR CND INC. In this regard, PR CND INC. reserves the right to cancel any abnormal order, such as an order for quantities of products exceeding the normal needs of a beauty salon or abnormal order flows to the same billing and/or delivery address.

Furthermore, PR CND INC. products are intended to be sold exclusively through PR CND INC.'s distribution networks. Accordingly, Clients who purchase PR CND INC. products on its website are prohibited from selling, buying, or receiving as a gift PR CND INC. products for the purpose of reselling them outside of PR CND INC.'s distribution networks, including on websites. Beyond constituting an infringement of PR CND INC.'s trademarks or product integrity, such actions may give rise to civil and, where applicable, criminal liability.

PR CND INC. and the Clients are, collectively hereinafter referred to as the "Parties" and individually as a "Party."

PR CND INC. reserves the right to modify these general terms and conditions of sale and warranties, as well as the content of information published on the Site, at any time and without prior notice, it being understood that such modifications will not apply to orders already validated by the Client and accepted and confirmed by PR CND INC.

The client acknowledges having read and accepted the terms and conditions of these general terms and conditions of sale (hereinafter the "GTC"). The GTC express the entirety of the Parties' obligations. The Client is deemed to accept them without reservation.

They are accessible on the Site and shall prevail, where applicable, over any other version or contradictory document. It is specified that the Client may save and/or print the GTC, provided no modifications are made to them.

Should any condition of sale be lacking, it shall be deemed governed by the practices in force in the distance selling sector for companies headquartered in France.

ARTICLE 5 – PRODUCTS – OFFERS – PRICES

Prior to placing an order, the Client may directly view on the Site the essential characteristics of the products they wish to order.

The user also acknowledges that promotional offers are valid as long as they are published on the Site and within the validity period of the relevant offer.

PR CND INC. reserves the right to modify its prices at any time, but undertakes to apply the rates in effect at the date of the order, subject to product availability at the time of ordering. If the order is validated and the products become unavailable after the order date, the price indicated at the date of the order will apply, even if that price changes before delivery.

Prices are listed in Canadian dollars before taxes. They do not include shipping costs, which are charged separately and indicated before order confirmation.

If one or more taxes or contributions, particularly environmental ones, are created or modified — whether increased or decreased — this change may be reflected in the selling price.

Offers on the PR CND INC. site are valid only for the duration mentioned in the promotional materials (emails, homepage sliders, etc.) and, unless otherwise stated, are not applicable at partner salons.


ARTICLE 6 – ORDER

The Client may place an order online from the sections "Waxing," "Salon Equipment," "Eye Care," "Face and Body Care," "Nail Beauty," "Starter Kits," and "Promotions," or any other section providing access to the product catalogue, subject to available stock.

The steps are as follows:

  • Selection of the item(s) to be ordered and added to the cart. Optional entry of a promo code to benefit from a discount, gift, or promotion. The client may at any time check the details and contents of their cart, the corresponding price, and make any necessary changes.
  • Order registration. An order can only be registered on the site if the Client has clearly identified themselves with their username and password. New clients will need to create an account (using access credentials provided by PR CND INC.) by entering a valid email address and a password (personal and confidential) to be used for future logins. In all cases, the provision of personal information required for order processing and delivery is mandatory.
  • Selection and confirmation of the delivery method.
  • Selection and confirmation of the payment method from those offered.
  • When the order is confirmed by the Client by clicking "Confirm my order / Confirm my cart," the Client declares acceptance of the order and all of these general terms and conditions of sale. Furthermore, PR CND provides the Client with a copy of the order on a durable medium, confirming the express commitment of the Parties.

Upon order registration, a detailed acknowledgment of receipt is sent to the Client's email address. This acknowledgment summarizes all elements of the order, including the exact amount invoiced and the delivery terms.

It is specified that the order acknowledgment does not in any case constitute confirmation of the availability of the ordered product(s) or validation of payment.

Any order constitutes acceptance of the prices and descriptions of the Products and Services available for sale.

An order is deemed placed on the website and the general terms and conditions of sale and warranties accepted once the buyer has validated their payment. The buyer acknowledges that the records kept by PR CND INC. and the secure payment provider constitute proof of the nature, content, and date of the order.

At any time, you may download the general terms and conditions of sale applicable to your order. These include the cancellation policy as well as the right to access, correct, or withdraw personal information. You may contact us at 11800 Av. The mandatory checking of the General Terms and Conditions of Sale and Warranties to confirm approval by the Client, and the click to proceed to payment through the secure payment site, constitute an electronic signature with the same value as a handwritten signature, and an irrevocable and unconditional acceptance of the order and its conditions by the buyer.

The sale will only be considered final after the buyer receives order confirmation from PR CND INC. and after PR CND INC. has received full payment.

In the event of non-payment and/or an incorrect Client address and/or any other problem related to the Client's account, PR CND INC. reserves the right to place the Client's order on hold until the issue is resolved.

PR CND INC. also reserves the right to cancel any order from a buyer with whom there has been a prior payment dispute or for any other legitimate reason, particularly regarding an abnormal order (high value, notably exceeding $500 before taxes). In case of doubt, PR CND INC. reserves the right to ask the Client to provide by fax or email a copy of a piece of identification and/or proof of address.

To track an ongoing order, the Client may check their email inbox, where an email will be sent automatically at each stage of order processing, or log into their client account under "My Account." The Client may also contact Perron Rigot Canada Inc. directly using the contact information provided in the "Contact" section of the Site.


ARTICLE 7 – PRODUCT AVAILABILITY

Products offered on the site are available only while stocks last. The client cannot select a product whose unavailability is known in advance. The mention "out of stock" is displayed on the Site in the event of temporary product unavailability. If one or more Products become unavailable after the order has been placed and within 8 days following the order date, the Client will be notified by email and/or phone of the possibility of partial delivery, the estimated availability date of the missing product(s), or the possibility of order cancellation. The client may choose to:

  • Keep the order on hold pending delivery of the unavailable product,
  • Request partial cancellation of the order,
  • Or request cancellation of the entire order.

The client then has a 14-day withdrawal period to request total or partial cancellation of the order. If no decision is made by the client within the allotted time, partial delivery of available products will proceed, followed by delivery of the remaining items once available.

If payment has already been made, PR CND INC. will issue a partial refund (in the case of partial delivery) or a full refund (in the case of total cancellation) within 30 days as follows:

  • If payment was made by credit card, the refund will be processed via the website to the same card used at the time of payment.

ARTICLE 8 – PAYMENT TERMS

All purchases on the Site must be settled exclusively in Canadian dollars.

The Client's order is necessarily validated by payment, due upon ordering. The Client may pay:

  • By credit card. The only payment cards accepted on the Site are: Visa or Mastercard.

The Client's account will be charged the full amount of the purchased products (including all applicable taxes) at the time the order is validated. A payment receipt is sent to the Client by email.

However, PR CND INC. reserves the right to suspend the order and any delivery in the event of refusal of credit card payment authorization by the accredited institution or in the event of non-payment. PR CND INC. also reserves the right to suspend an ongoing order if a payment dispute or any other type of dispute from a previous Client order is currently being handled.

PR CND INC. takes all necessary measures to ensure the confidentiality and security of data transmitted over the web. To this end, the Site uses a secure SSL (Secure Socket Layer) payment module marketed by Elavon, so that the information transmitted is encrypted by software and cannot be accessed by any third party during transmission over the network.

Payments made by the Client will only be considered final after effective collection of the amounts owed by PR CND INC.

PR CND INC. shall not be held liable for any fraud or unauthorized use of a payment method that was not detected by the verification process. The buyer guarantees to Perron Rigot Canada Inc. that they have the necessary authorization to use the chosen payment method. Furthermore, the Client is urged, upon discovering any fraudulent use of their payment method, to contact customer service.

ARTICLE 9 – PROOF OF TRANSACTION

Computerized records, maintained in PR CND INC.'s computer systems under reasonably secure conditions, will be considered as proof of communications, orders, and payments between the Parties. Orders and invoices are archived on a durable and reliable medium that may be used as proof.

Within 15 days or less, you will receive a copy of the transaction invoice.


ARTICLE 10 – DELIVERY TERMS

Delivery refers to the transfer of physical possession and control of the Product to the Client. It is only carried out after confirmation of payment by PR CND INC.'s banking institution.

Once registered, the order will be delivered to the address indicated by the Client. PR CND INC. cannot be held responsible for non-delivery if the address provided is incorrect or incomplete. The Client is therefore responsible for the accuracy of their billing and delivery addresses. Any parcel returned to PR CND INC. due to an incorrect or incomplete delivery address will be reshipped at the Client's expense.

The Client may request that the invoice be sent to the billing address rather than the delivery address by checking the relevant option when confirming their order.

No deliveries are made to campsites, hotels, general delivery, P.O. boxes, etc.

For delivery to the Client's home or salon in Québec, the delivery time is 3 to 5 business days from the day following the order (comprising 48 hours of order preparation followed by the carrier's transit time, except in cases of force majeure or during announced closure periods of the online store, and subject to available stock).

If the agreed delivery date or timeframe is not met, the Client may instruct PR CND INC. in writing to complete the delivery within a reasonable period not exceeding 15 days from the order date.

If the delivery period exceeds 15 days from the order validation date, the sales contract may be cancelled by the Client in writing, either by mail to PR CND INC.'s registered address or by email to: info@perron-rigot.ca.

The contract will be considered cancelled upon PR CND INC.'s receipt of the written notice of cancellation, unless PR CND INC. has fulfilled the delivery in the meantime.

When the contract is cancelled, PR CND INC. has 14 days from the date of cancellation to refund the buyer for all amounts paid.

By exception, the Client accepts that delivery times may be delayed during PR CND INC.'s closure periods. The Client will be informed in advance on the Site of any closure periods that may cause a delay or postponement of delivery. In this case, the Client may:

  • Either confirm the order and unconditionally accept the date on which the order will actually be prepared and shipped,
  • Or wait until PR CND INC. resumes operations before placing the order.

For shipments, PR CND INC. uses various delivery services depending on the delivery address and the number of items in the order.

  • Shipping fees are fixed based on the delivery zone plus taxes for orders under $375 before taxes for the province of Québec and $525 before taxes for the rest of Canada. Shipping is free for orders over $375 before taxes for Québec and $525 before taxes for the rest of Canada, or during applicable promotional offers indicated on the site.

The Client must sign the delivery slip to confirm receipt of their parcel, and may therefore verify the condition of the parcel and products upon receipt.

If, at the time of delivery, the parcel is damaged, torn, or open, the Client must inspect the condition of the Products. If the Products have been damaged, the Client must refuse the parcel and note the following on the delivery slip: "parcel refused, as it is open or damaged."

The Client must indicate any anomalies regarding the delivery on the delivery slip, in the form of handwritten reservations accompanied by their signature, such as damage, missing Products compared to the delivery slip, a damaged parcel, broken Products, etc. The client must also communicate their reservations and any observed incidents to PR CND INC.'s Customer Service within 5 business days of receiving the order.

When the Client, or any person authorized by them, has signed the delivery slip, the inspection of the parcel is deemed to have been completed.

If the parcel shows no apparent anomaly, and the Client discovers that the products are damaged, missing, or non-conforming upon opening, the Client then has a 14-day withdrawal period from the date of receipt of the order to initiate a return, at the address indicated in the General Terms and Conditions of Sale. A claims form is available in the appendix of these General Terms and Conditions of Sale.

If Products need to be returned to PR CND INC., a return request must be submitted to PR CND INC. within 14 days of the delivery date, and the products must be returned within 14 business days of the request. Furthermore, product returns will only be accepted by PR CND INC. in their original condition (packaging, accessories, instructions) and only if they have not been unsealed by the Client. Return shipping costs are the Client's responsibility.


ARTICLE 11 – RIGHT OF WITHDRAWAL

If the products received are damaged or do not conform to the order or expectations, the Client has a withdrawal period of fourteen (14) clear days from delivery of the order. If the fourteen (14) day period expires on a Saturday, Sunday, or public holiday, it is extended to the next business day. Within this period, the Client must inform PR CND INC. of their decision to withdraw by using the withdrawal form in the appendix of these General Terms and Conditions of Sale, or by sending a letter or email to the contact details provided on the Site or in these General Terms and Conditions of Sale.

The Client then has 14 clear days from the date of their formal withdrawal request to return the products to Perron Rigot Canada, 9101 rue du Parcours, Anjou, Québec, H1J 2Y1, in their original condition (packaging, accessories, instructions) and only if they have not been unsealed by the Client. Return shipping costs are the Client's responsibility.

The Client may choose to have the returned product(s) exchanged or to receive a refund for the amount paid for the returned product(s).

The exchange or refund will occur no later than 14 days from the date of receipt of the returned products or receipt of proof of return shipment, whichever comes first. Beyond this deadline, the amount owed will automatically accrue interest at the applicable legal rate.

Shipping and return costs will not be refunded and remain the Client's responsibility, unless the products are returned because they do not correspond to the Client's order (wrong reference) or were damaged during transport and were subject to a reservation noted by the Client upon receipt. In these cases, and provided that the non-conforming and/or damaged products have not been unsealed by the Client, the initial shipping costs and return costs will be fully refunded to the Client.

If the Client opts for an exchange of the returned products, PR CND INC. will assign an exchange number for the relevant product(s) and communicate it by email to the Client. An exchange may only take place after the exchange number has been assigned.

In the event of an exchange error, any Product to be exchanged or refunded must be returned to PR CND INC. in its entirety and in its original packaging, via Canada Post, to the following address: Perron Rigot Canada, 9101 rue du Parcours, Anjou, Québec, H1J 2Y1. Return shipping costs are PR CND INC.'s responsibility.

Any product unsealed by the Client before its return to PR CND INC. will be considered as already used and, consequently, cannot be exchanged or refunded, unless it reveals a quality issue with the product contained in the packaging. In that case, PR CND INC. will conduct all necessary analyses and will cover all costs incurred by the Client, if the non-conformity is found to be PR CND INC.'s responsibility.

ARTICLE 13 – DISCLAIMERS OR LIMITED LIABILITY

PR CND INC. invests considerable effort in preparing its website and quality control to provide reliable information. However, PR CND INC. offers no warranty and does not attest to the reliability, integrity, or accuracy of the site's content or operation. The user assumes all responsibility and risk related to the use of the website. The service is offered without any warranty or representation of any kind.

PR CND INC. specifically disclaims any warranty (1) confirming that the information offered on the site is available without interruption or error; (2) stating that the information, software, or other documents accessible through the website do not contain viruses or other destructive components; and (3) regarding the completeness or usefulness of the information or processes published on the website.

PR CND INC. assumes no legal liability for damages that may be claimed due to loss of use of data, profit, or any other indirect damage.

PR CND INC. shall not be held responsible for failure to perform the concluded contract in cases of force majeure, such as total or partial disruption or strike of postal services, transportation, and/or communication services.

Orders intended for minors must be placed by the holder of parental authority. In the event of accidental collection of personal data relating to a minor, the holder of parental authority has the right to object to the retention and/or transmission of such data to third parties.

PR CND INC.'s liability shall not be engaged for any inconveniences or damages inherent to the use of the internet network, including service interruption, external intrusion, the presence of computer viruses, or any event qualifying as force majeure, in accordance with applicable case law.


ARTICLE 14 – FORCE MAJEURE

Any circumstances beyond the Parties' control preventing the normal performance of their obligations are considered grounds for exemption from the Parties' obligations and result in their suspension.

The Party invoking the circumstances described above must immediately notify the other Party of their occurrence and cessation.

The following shall be considered cases of force majeure: any irresistible, external, unforeseeable, unavoidable facts or circumstances beyond the Parties' control that cannot be prevented despite all reasonably possible efforts. Expressly considered cases of force majeure include: blockage of transportation or supply means, earthquakes, fires, storms, floods, lightning, shutdown of telecommunications networks, or difficulties specific to telecommunications networks external to clients.

The Parties must communicate with each other to examine the impact of the event and agree on the conditions under which the contract will continue. If the force majeure event lasts more than three months, the contract may be terminated by the affected Party.


ARTICLE 15 – INTELLECTUAL PROPERTY

All elements of the Site, whether visual or audio (trademarks, designs, models, logos, photographs, graphics, and compilations), including the underlying technology, are the exclusive property of PR CND INC. or its suppliers and service providers, who grant no license or any other right than that of viewing the Site. This is a copyright recognized by law.

In accordance with the laws governing intellectual property, any reproduction or representation, in whole or in part, of the Site or any of its elements is strictly prohibited, as is any alteration thereof.

No element contained on the website may be interpreted as granting the user permission to use the copyright, trademarks, patents, or other intellectual property rights held by PR CND INC. or its suppliers.


ARTICLE 16 – PERSONAL INFORMATION

The protection of privacy is important to us. PR CND INC. is committed to applying the following policy for the collection, use, and disclosure of personal information.

Personal information concerns a natural person that allows their identification regardless of the nature of its medium and the form in which it is accessible: written, graphic, audio, visual, computerized, or otherwise. Information about a company or partnership is not personal information.

The user consents to the collection and use of personal information when placing an order or browsing the website.

A consumer may withdraw their consent at any time with reasonable notice to PR CND INC. However, please note that if you choose to withdraw your consent, we may no longer be able to provide you with certain products and services. The company only collects personal information necessary in the context of the business relationship we maintain with you. For example, we may collect personal information about you when you request a product or service or submit a question, comment, or suggestion by phone or electronically. In addition, personal information about you may be collected in the context of our relationship with you if such collection is necessary to allow us to provide you with ongoing service.

As a general rule, we will collect personal information directly from you. However, we may also collect personal information about you from third parties with your consent or without your consent if permitted by law.

The use of our website also allows us to establish non-personal statistics regarding the number of visits, the most visited pages, and referral site data. To do so, our website, like most websites, uses cookies stored on your computer when you visit our site. Most internet browsers allow you to delete cookies from your hard drive, prevent them from being stored, or receive a warning before they are stored. However, your use or ability to access certain features of our website may be affected. Your personal information is used and disclosed in order to identify you and establish and maintain our business relationship, provide ongoing service, improve our range of products and services, communicate with you when you submit a question, comment, or suggestion, manage contests, prevent errors and fraud, or comply with legal requirements. Your personal information will rarely be used for purposes other than those mentioned above unless we have obtained your consent or in the cases and conditions provided by law.

Access to your personal information within our company does not require your consent, but is strictly limited to persons for whom the information is necessary for the performance of their duties. Unauthorized access to or disclosure of personal information by an employee is strictly prohibited and will result in administrative and disciplinary measures.

In general, the exchange of personal information about you between members of our affiliated companies does not require your consent if such information is necessary to allow them to assist you within the context of the business relationship we maintain with you. We may also share your personal information, without your consent, with our agents, representatives, consultants, data managers, or other suppliers if such information is necessary for the performance of their mandate or service contract. In all cases, personal information about you will be used to provide specific services and will be kept confidential.

Please note that if a third party to whom we transmit personal information about you operates in a foreign jurisdiction, local legislation may allow third parties to access your personal information without your consent.

We have implemented a series of reasonable security measures, taking into account the sensitivity of the information, its purpose, quantity, and medium, in order to protect your personal information against loss, theft, unauthorized access, disclosure, copying, or use.

These administrative measures include policies regarding access to our premises, as well as administrative and technological measures such as the use of passwords and continuously updated antivirus software. Personal information about you is retained only for as long as necessary to complete the purchase for which it was collected, to meet legal retention requirements, and for the duration necessary to protect our legitimate business interests.

You may request to consult or obtain a copy of your personal information held by us. You may also request that personal information be corrected if it is inaccurate, incomplete, ambiguous, or was obtained without legal authorization.

Any questions regarding this policy or the collection, use, and disclosure of personal information, including access or correction requests, must be submitted in writing to:

We will respond to any access or correction request within 30 days of the date of receipt of the written request. If we refuse to provide or correct information, we will provide the reasons for our refusal, subject to any legal restrictions, and will inform you of your recourse.

The client is informed that they may choose at any time not to receive commercial messages by clicking the subscription management link at the bottom of each email.

Our personal information policy may be modified at any time. Any changes will appear on the website. We recommend that you print a copy of our policy above for your records.


ARTICLE 17 – HYPERLINKS (LINKS TO THIRD-PARTY WEBSITES)

A Client who operates a personal website and wishes to place, for personal use, a simple link on their site redirecting directly to the Site's homepage or any other pages must obtain prior authorization from PR CND. However, any hyperlink to the Site using framing or in-line linking techniques is strictly prohibited. In all cases, any link, even tacitly authorized, must be removed upon simple request from Perron Rigot Canada Inc.

The Site may contain hyperlinks to other websites. PR CND cannot be held responsible if the content on those websites contravenes applicable laws and regulations.

The presence of hyperlink references does not necessarily constitute a recommendation or endorsement by PR CND. The company assumes no responsibility for the quality of products and services offered by other websites referenced on our site.


ARTICLE 18 – PARTIAL INVALIDITY

If one or more provisions of the general terms and conditions of sale are held to be invalid or declared as such under any applicable law, regulation, or following a final decision by a competent court, the remaining provisions shall retain their full force and effect.


ARTICLE 19 – NON-WAIVER

The failure of either Party to invoke a breach by the other Party of any of the obligations set out in the general terms and conditions of use shall not be interpreted in the future as a waiver of the obligation in question.


ARTICLE 20 – HEADINGS

In the event of any difficulty in interpreting any of the headings appearing at the beginning of the clauses and any of the clauses themselves, the headings shall be deemed non-existent.


ARTICLE 21 – GOVERNING LAW

Any claim is governed by the laws applicable to the province of Québec and Canada.


ARTICLE 22 – RULES OF CONDUCT
